1. Who we are

In these Terms, “we”, “us” and “our” means Summit Startup Services Pty Ltd (ACN 676 998 771; ABN 11 676 998 771), which owns and operates the website abn-registration-australia.com.au and its related subdomains.

We are a Registered Tax Agent (No. 26270174) and a Registered ASIC Agent (No. 52205). We are a private business providing a paid preparation and lodgement service. We are not affiliated with, or endorsed by, the Commonwealth Government or any government agency, including the Australian Taxation Office (ATO), the Australian Securities & Investments Commission (ASIC), or the Australian Business Register (ABR).

2. Acceptance of these Terms

By accessing our website, creating an application, or using any of our services, you confirm that you have read, understood and agree to these Terms and our Privacy Policy. If you are using our services on behalf of a business or another person, you confirm you are authorised to bind them to these Terms.

3. Our services

We provide business registration and related lodgement services, including:

• Australian Business Number (ABN) registration and cancellation
• Business name registration and renewal (with ASIC)
• Company registration (incorporation)
• Partnership ABN registration
• Goods and Services Tax (GST) registration
• PAYG withholding registration

4. Our role and your authorisation

When you submit an application, you authorise us (and our authorised representatives) to act on your behalf:

• as your Registered Tax Agent for ABN, GST and PAYG applications; and
• as your Registered ASIC Agent for business name and company registrations, renewals and cancellations.

We prepare, review and lodge your application with the relevant government body. Lodging an application does not guarantee a successful registration — approval is at the discretion of the ATO or ASIC.

5. Fees and payment

Our fees are payable in advance, at the time you submit your application, unless we tell you otherwise. All fees are in Australian dollars and include GST where applicable. The fee for each service is shown at checkout before you pay.

Our fees are service fees for preparing, checking and lodging your application, and for acting as your agent. Some government registrations may be available directly from the relevant government body, in some cases at no cost; you are paying for our service and time, not for the government registration itself.

6. Refunds and cancellations

Nothing in these Terms limits your rights under the Australian Consumer Law (see clause 16).

Our delivery guarantee. We guarantee delivery of your ABN and/or business name within 14 working days, or we will refund the registration fee you paid, minus payment and administration fees. This guarantee does not apply where:

• the information you supplied was incomplete or incorrect;
• you already hold an existing ABN;
• the ATO rejects the application and needs to contact you to resolve it; or
• the ATO marks your application for manual review, which can take up to 28 days.

In addition:

• If your application is formally refused by the ATO or ASIC and the issue cannot be resolved, we will refund the fee you paid for that application.
• If you ask us to withdraw an application before we have begun processing it, we will refund your fee, less a reasonable administration charge to cover work already done.
• Subject to the delivery guarantee above, once we have begun lodging or processing your application, fees for work already performed may not be refundable.

Refunds are made using the same payment method you used to pay. Where you owe us money, we may offset it against any refund due to you.

7. Your information and responsibilities

When you submit an application, you confirm that the information you provide is accurate, complete and up to date. Providing false or misleading information to the ATO or ASIC is a serious offence.

You must tell us promptly if your details change. We may ask you to verify your identity or provide supporting documents. We are not responsible for losses caused by incorrect or incomplete information that you supply, or by your failure to respond to requests within the time we specify.

You are responsible for keeping your account details secure and must not share them. Tell us immediately if you believe your account has been accessed without authorisation.

8. Processing, approvals and timeframes

We begin processing your application promptly after you submit it. Where immediate electronic lodgement is unavailable, we may lodge your application manually. The ATO may take up to 28 days to process certain applications, and may contact you directly.

An application may be delayed or refused for reasons outside our control, including a mismatch with government records, a duplicate application, identity checks, or government system issues. If your application is refused, we will contact you to discuss options. If you and we apply for both an ABN and a business name and the ABN is refused, the business name application may also be cancelled.

9. Business and company names

Name availability checks rely on ASIC’s registers. We do not guarantee that a chosen name is, or will remain, available or registrable, and we are not responsible for ASIC system errors, downtime or inaccuracies. If your chosen name is unavailable, we will ask you to choose an alternative or, where appropriate, offer a refund in line with clause 6.

Registering a business name, company name or domain name does not give you ownership of that name, a trademark, or protection against others using or registering a similar name. To cancel a registered business name, we must first be recorded as your ASIC agent.

10. Renewals

You are responsible for renewing your business name, company (ACN) obligations, and completing any annual ASIC reviews by their due dates. We are not obliged to remind you of renewals and are not liable for losses caused by a missed renewal. We recommend you track your own renewal dates.

11. Website use

You may use our website and its content for your own lawful, personal or business reference. You must not:

• copy, reproduce, distribute, sell or commercially exploit our content without our permission;
• remove or alter any copyright, trademark or proprietary notices;
• reverse engineer, interfere with, or attempt to gain unauthorised access to our systems;
• use bots, scrapers or automated tools, or place excessive load on our infrastructure; or
• use our website to send spam or post unlawful, harmful or infringing content.

12. Intellectual property

All intellectual property on our website — including text, design, graphics, software and documents — is owned by or licensed to us. Where we provide business documents (for example, company registers or constitutions), we grant you a non-exclusive, royalty-free, non-transferable licence to use them for the lawful operation of your own business only. You must not repurpose them for external commercial use.

13. No professional advice

Our website content and services are for general information and lodgement purposes only and do not constitute legal, tax, accounting or financial advice. We do not advise whether a particular registration is suitable for you. You should seek advice from a qualified professional where needed, and refer to official sources including the ATO, ASIC, IP Australia and auDA.

14. Privacy

We handle your personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth) and the Australian Privacy Principles. By using our services, you consent to us collecting, using and disclosing your personal information as described in our Privacy Policy, including, where necessary, disclosure to the ATO, ASIC and other parties involved in processing your application.

15. Third-party services and links

Our website may link to, or rely on, third-party services and websites. We are not responsible for their content, availability, accuracy or legality, and we do not guarantee compatibility with any third-party service you use.

16. Liability and consumer guarantees

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). If we fail to meet a consumer guarantee, you are entitled to the remedies the ACL provides.

To the extent permitted by law, and subject to those guarantees:

• we exclude liability for indirect, special or consequential loss, and for loss caused by delays, refusals, processing errors, or third-party (including ATO or ASIC) system failures; and
• where our liability can be limited, it is limited (at our option) to re-supplying the relevant service or paying the cost of having it re-supplied.

We provide our website, content, documents and services “as is.” While we take care to be accurate, we do not guarantee that our website will be uninterrupted or error-free, and we may suspend access for maintenance or reasons beyond our control.

17. Indemnity

To the extent permitted by law, you indemnify us against any claim, loss or reasonable legal cost arising from your breach of these Terms, your provision of inaccurate information, your infringement of a third party’s rights, or your use of any ABN, business name, company name, domain name, trademark or tax registration obtained through our services.

18. Termination

We may suspend or end your access if you materially breach these Terms and do not fix the breach after we ask you to. You may stop using our services at any time; where you have an ongoing service with us, you may end it on 30 days’ written notice.

19. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and change the “last updated” date. Continued use of our website or services after an update means you accept the revised Terms.

20. Governing law

These Terms are governed by the laws of New South Wales, Australia, and you submit to the courts of that state. If any part of these Terms is found invalid, the rest continues to apply. These Terms are the entire agreement between you and us about our services.
